By accessing or using SinkroTrade ("the Service", "the Software", "we", "us", or "our"), accessible at sinkrotrade.app, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

SinkroTrade provides software tools and trade synchronization services that allow users to copy orders, positions, and trades across supported trading accounts (such as Tradovate and supported brokerages).

SinkroTrade does not provide investment, financial, legal, or tax advice. We do not manage funds, execute trades on your behalf in a fiduciary capacity, or guarantee profits.

3. Trading Disclaimer

All trades copied or executed through SinkroTrade are executed under your own discretion and responsibility. SinkroTrade assumes no liability for trading decisions or market losses.

4. Technology, Latency, and Execution Risks

Automated trade copying relies on multiple third-party systems, including internet service providers, broker APIs (e.g., Tradovate), exchange data feeds, and local devices. By using SinkroTrade, you acknowledge and agree that:

• Network latency, broker API rate limits, server maintenance, or disconnections may cause delays or failures in order copying.
• Market conditions, high volatility, and illiquid markets may result in slippage, order rejections, partial fills, or differing fill prices between master and follower accounts.
• SinkroTrade is not responsible or liable for missed trades, failed executions, duplicate orders, or unexpected position mismatches resulting from technical glitches, third-party API changes, or broker-side restrictions.

5. Third-Party Brokers and Prop Firms

You are solely responsible for complying with the terms, rules, and conditions set by your broker (e.g., Tradovate) or proprietary trading firm (prop firm). It is your responsibility to verify whether trade copiers or automated trading tools are permitted by your broker or evaluation firm. SinkroTrade is not affiliated with, endorsed by, or sponsored by Tradovate or any prop trading firm.

6. License Purchases and Payments

• One-Time License Model: SinkroTrade is offered exclusively on a one-time license purchase basis. We do not operate automatic recurring subscriptions. Each purchase grants a license to use the Service for the specified validity period or account limits selected at the time of purchase.
• Payment Processing: Payments are processed securely through authorized third-party payment processors (e.g., Paddle). By purchasing a license, you agree to pay the specified one-time fee. There are no recurring auto-billing charges.
• License Expiration: When your purchased license expires, trade synchronization and related features will cease. To continue using the Service, you must manually purchase a new license.
• Refunds: We provide a 14-day free trial so you can fully test and evaluate the Service prior to making a purchase. Because of this trial period and the immediate delivery of digital software licenses, all license purchases are final and non-refundable once completed, except where required by mandatory consumer protection laws.

7. Prohibited Conduct

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Resell, sublicense, rent, or distribute SinkroTrade to unauthorized third parties.
• Circumvent account limits, license keys, or technical protection measures.
• Use the Service in violation of any applicable federal, state, local, or international laws or regulations.
• Interfere with or compromise the security or integrity of our servers, infrastructure, or network.

8. Intellectual Property

All content, software, code, logos, trademarks, and documentation related to SinkroTrade are the exclusive intellectual property of SinkroTrade and its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service strictly in accordance with these Terms.

9. Modifications to Terms and Service

We reserve the right to modify or replace these Terms at any time at our sole discretion. Any changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after changes are published constitutes your acceptance of the revised Terms.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in fraudulent or abusive activities. Upon termination, your right to use the Service will immediately cease.
